2. Description of Services
Veronata develops and operates consumer applications that utilize artificial intelligence, machine learning, and related technologies to enable creative expression. Our Services may include, but are not limited to, AI-powered content creation tools, music generation, voice synthesis, video creation, and social sharing features.
3. Eligibility
You must be at least 13 years of age to use our Services. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use our Services with the consent of a parent or legal guardian. By using our Services, you represent and warrant that you meet these eligibility requirements.
4. User Accounts
Certain features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

5. User Content

Our Services may allow you to upload, submit, or create content, including but not limited to photographs, voice recordings, text, lyrics, and other materials ("User Content"). You retain ownership of your User Content, subject to the licenses granted herein.
5.2 License to Veronata
By submitting User Content through our Services, you grant Veronata a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely for the purpose of operating, providing, improving, and promoting our Services. This license ends when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it.
5.3 AI-Generated Content
Content generated by our AI systems using your inputs ("Generated Content") is provided to you for personal and non-commercial use unless otherwise specified. You may share Generated Content through our platform and on third-party social media platforms. Veronata retains rights to the underlying AI models, algorithms, and technologies used to create Generated Content.
6. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws, regulations, or third-party rights.
- Create, upload, or share content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Impersonate any person or entity, or falsely represent your affiliation with a person or entity.
- Create content that infringes on intellectual property rights of others.
- Use another person's likeness, voice, or identity without their explicit consent.
- Attempt to reverse engineer, decompile, or disassemble any part of our Services.
- Circumvent or disable any security or access control features.
- Use automated systems (bots, scrapers, etc.) to access our Services without permission.
- Interfere with or disrupt the integrity or performance of our Services.
7. Payments and Purchases
Certain features of our Services may be available for purchase. All payments are processed through the Apple App Store, Google Play Store, or other authorized payment processors. By making a purchase, you agree to the payment terms presented at the time of purchase.
- All prices are listed in U.S. dollars unless otherwise stated.
- Purchases are non-refundable except as required by applicable law or the policies of the respective app store.
- We reserve the right to modify pricing at any time. Price changes will not affect purchases already completed.
8. Intellectual Property
All aspects of our Services, including but not limited to software, algorithms, AI models, designs, trademarks, logos, and documentation, are the exclusive property of Veronata or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use Veronata's trademarks, logos, or branding without prior written consent.
9. Privacy
Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the practices described therein.
10. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
AI-generated content may not always be accurate, appropriate, or of consistent quality. You acknowledge that AI outputs are generated algorithmically and may contain errors or unexpected results.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERONATA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO VERONATA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Veronata and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
13. Modifications to Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the revised Terms.
14. Termination
We may terminate or suspend your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use our Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 8, 10, 11, 12, and 15.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state and federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
16. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Veronata regarding the Services.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
