Veronata Terms of Service

Welcome to Veronata. These Terms of Service ("Terms") govern your access to and use of the Veronata dating application and services (the "Services") provided by Veronata, Inc. ("Veronata," "we," "us," or "our"). By creating an account or using our Services, you agree to be bound by these Terms. Time is of the essence for all obligations under these Terms.

1. Eligibility and Age Verification

a) Minimum Age

You must be at least 18 years of age to use Veronata. By creating an account, you affirm under penalty of perjury that you are at least 18 years old.

b) Age Verification

We reserve the right to request proof of age at any time. Failure to provide satisfactory proof may result in immediate account termination.

c) Misrepresentation

Misrepresenting your age is a violation of these Terms and may be a violation of local, state, or federal law. We will cooperate with law enforcement regarding underage users.

d) Zero Tolerance

We have zero tolerance for adults seeking to target minors. Any such behavior will result in immediate termination and reporting to law enforcement.

e) Legal Authority

You represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all terms and conditions set forth herein.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify Veronata of any unauthorized use of your account.

3. User Conduct

Veronata is a community built on respect and authenticity. You agree not to:

• Post or transmit any content that is libelous, defamatory, obscene, pornographic, abusive, harassing, threatening, or hateful.
• Use the Services for any illegal or unauthorized purpose.
• Impersonate any person or entity, or misrepresent your identity or affiliation with any person or entity.
• Harass, bully, intimidate, or threaten any other user.
• Post or share content that you do not have the right to share.
• Use the Services to distribute spam or unsolicited commercial messages.
• Scrape, data‑mine, or otherwise collect information about other users without their consent.
• Use the Services if you are a convicted sex offender.
• Share other users' information or content outside the platform without explicit consent.
• Create multiple accounts or use false information.
• Attempt to circumvent any content filtering or safety features.
• Record or screenshot voice/video calls without consent of all parties.
• Use voice modification technology, deepfakes, or any method to misrepresent your voice.
• Engage in financial scams, request money, or share financial information.

We reserve the right to investigate and terminate your account without a refund of any purchases if you have violated these Terms. All voice and text communications are subject to monitoring and review for safety and moderation purposes.

4. Voice Features, Recording, and Consent

a) Consent to Record

By using any voice features, you consent to being recorded and grant permission for Veronata to record, store, and analyze your voice communications.

b) Two-Party Consent

You represent that you have obtained all necessary consents from other parties where required by applicable law, including two-party consent states.

c) Voice Analysis

Your voice may be analyzed for:

• Safety and moderation purposes
• Matching algorithm improvement
• Detection of Terms violations
• Quality assurance
• Training AI systems to improve Services

d) No Expectation of Privacy

You have no expectation of privacy in any communications made through our Services, including voice calls and messages.

e) Voice Authenticity

You agree not to use voice modification technology, deepfakes, or any method to misrepresent your voice or impersonate others.

f) Storage and Retention

Recordings are stored securely and may be retained for up to 180 days for safety, legal compliance, and service improvement purposes.

5. Use of AI Agents

To provide a consistently active and engaging experience, Veronata utilizes AI‑powered agents ("AIBGs").

• You may be matched with and engage in voice dates with AIBGs.
• These AIBGs are clearly designated as "AI" within the user interface.
• Interactions with AIBGs are for simulation, platform improvement, and user‑experience enhancement purposes.
• You should not expect to form a real‑world relationship with an AIBG.

6. Monetization and "Sparks"

• Our Services may include virtual currency ("Sparks") that can be purchased or earned.
• Sparks are a limited license to use certain premium features on Veronata.
• Sparks have no monetary value and are not redeemable for cash.
• All purchases of Sparks are final and non‑refundable.
• We may change the purchase price or usage cost for Sparks at any time.

7. Content and Intellectual Property

a) Your Content License

You own the content you create and share on Veronata (such as your voice clips and photos). However, by using our Services, you grant Veronata a worldwide, transferable, sub‑licensable, royalty‑free right and license to host, store, use, copy, display, reproduce, adapt, edit, publish, and distribute this content. This license is for the limited purpose of operating, developing, providing, and improving the Services.

b) Feedback License

Any feedback, suggestions, or ideas you provide about the Services become the property of Veronata without any compensation to you.

c) Name and Likeness

You grant us permission to use your first name, age, and general location in our marketing materials showing successful matches (with your explicit consent for each use).

d) DMCA Compliance

We respond to copyright infringement notices under the Digital Millennium Copyright Act. Repeat infringers will be terminated. To report copyright infringement, contact legal@veronata.com.

e) Veronata's Intellectual Property

The Services and all related technology, algorithms, and intellectual property are owned by Veronata and protected by copyright, trademark, and other laws.

8. DISCLAIMERS AND ASSUMPTION OF RISK

General Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VERONATA DOES NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE SAFE, SECURE, OR ERROR‑FREE.

9. LIMITATION OF LIABILITY

a) MAXIMUM LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERONATA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY LOSSES OR DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO VERONATA IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

b) EXCLUDED DAMAGES

IN NO EVENT SHALL VERONATA BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages relating to your interactions with other users, online or offline
• Any harm resulting from meetings with other users
• Identity theft or fraud
• Any unauthorized access to or use of our servers
• Any conduct or content of any third party on the Services
• Physical, emotional, or psychological harm from use of Services

c) BASIS OF THE BARGAIN

You acknowledge that Veronata has offered its Services, set its prices, and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein.

10. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles.

11. Termination

We may terminate or suspend your account at any time, without notice, for any reason, including for any breach of these Terms. Upon termination, all licenses and rights granted to you in these Terms will immediately cease.

13. DISPUTE RESOLUTION - MANDATORY ARBITRATION AND CLASS ACTION WAIVER

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Veronata, Inc., its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Your conduct in connection with the Services or other users
• Any content you post or share through the Services
• Any offline meetings or interactions with other users
• Any harm resulting from your voice recordings or communications

This indemnification obligation will survive the termination of these Terms and your use of the Services.

15. Sparks Purchases and Payments

• Sparks System: Veronata operates on a credit-based system called "Sparks." Sparks are purchased in packages and do not automatically renew.
• Payment Processing: All payments are processed by our authorized billing partner, CCBill. By purchasing Sparks, you agree to CCBill's terms of service.
• Refunds: Refunds are handled on a case-by-case basis. For any billing questions including refunds, please contact our billing partner CCBill at https://support.ccbill.com/
• No Auto-Renewal: Sparks purchases are one-time transactions and do not create recurring subscriptions.
• Price Changes: We may change Sparks package prices at any time. The price at the time of purchase applies.
• Chargebacks: Initiating a chargeback without first contacting CCBill support may result in immediate account termination.
• Unused Sparks: Unused Sparks remain in your account for 12 months from your last login. After 12 months of inactivity, unused Sparks may expire.

16. Data Security Disclaimer

While we implement security measures, no system is completely secure. We are not liable for any unauthorized access to your account or data, including voice recordings. You acknowledge this risk.

17. Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or in-app notification.

18. Geographic Restrictions and Availability

a) Service Availability

Veronata is currently available only in the United States and Canada. Access from other countries is prohibited and will be automatically blocked. We reserve the right to expand or restrict geographic availability at our sole discretion.

b) VPN and Proxy Prohibition

Using VPNs, proxies, or other methods to circumvent geographic restrictions is strictly prohibited and constitutes a material breach of these Terms. Detection of such usage will result in immediate account termination without refund of any purchases.

c) Compliance with Local Laws

You are responsible for ensuring your use of the Services complies with all applicable local, state, provincial, and federal laws in your jurisdiction. If online dating services are illegal in your location, you must not use Veronata.

d) IP Address and Location Data

We collect and verify your IP address and location data to enforce geographic restrictions and prevent fraud. By using the Services, you consent to this collection and verification. Providing false location information is grounds for immediate termination.

e) International Expansion

While we may expand to additional countries in the future, we make no commitments regarding timing or specific regions. Users outside the US and Canada may join our waitlist at veronata.com/not-available.

f) No Warranty for International Access

If you somehow access the Services from outside the United States or Canada, you do so at your own risk. We provide no warranty that the Services will function properly, comply with local laws, or be culturally appropriate for your region.
